Welcome to Novoweb ("Provider", "we", "us", or "our"), operated by Ronen Developer ("Provider"). These Terms & Conditions ("Terms", "Agreement") govern the relationship between Provider and the customer or business purchasing our web setup, domain management, hosting, and maintenance services ("Customer", "Client", "you", or "your").
By purchasing a service subscription, submitting payment (via credit card or direct payment processor), completing an onboarding form, or utilizing our services, you explicitly consent to and agree to be bound by these Terms & Conditions.
1. Scope of Services & What You Receive
Novoweb provides managed website setup, custom domain connection, secure Firebase cloud hosting, and monthly website maintenance to establish and support your business's online presence.
A. One-Time Setup Package ($499 USD)
Upon payment of the $499 initial setup fee, Provider will deliver:
- Custom Online Presence Site: A high-converting, mobile-responsive website customized with your business name, logo, brand colors, contact details, and service area descriptions.
- Interactive Site Features: Instant Quote Estimator widget, customer reviews / testimonial showcase, and a direct lead capture form routed directly to your email/phone.
- Domain & Security Setup: Purchasing or attaching your custom domain (managed via Hostinger) and configuring automatic SSL security (HTTPS) encryption via Google Firebase Hosting.
- Local SEO Foundation: Meta title tags, descriptions, header tags, and LocalBusiness schema markup.
B. Monthly Managed Subscription ($129 / Month)
Included in your active monthly recurring subscription:
- Managed Firebase Cloud Hosting: Ultra-fast, high-uptime cloud hosting powered by Google Firebase Infrastructure.
- Domain Renewal & Maintenance: Annual renewal and DNS management of your custom domain via Hostinger.
- Version Control & GitHub Backups: Continuous code repository management and safe version backups stored securely on GitHub.
- Automated SSL Security: Continuous SSL certificate validation and automatic renewal.
- Monthly Minor Edits Allotment: Up to 2 hours or 3 minor content change requests per calendar month (e.g., swapping up to 5 photos, updating phone/email details, updating prices, or adding a new testimonial).
2. Distinction Between Minor Edits vs. Big Changes (Scope Boundaries)
To keep monthly maintenance fees affordable at $129/month, work is strictly scoped between included minor maintenance and out-of-scope "big changes":
Included Minor Maintenance (Covered by $129/mo)
- Updating text, phone numbers, email addresses, or service area lists.
- Swapping existing photos with new customer-provided job photos.
- Updating pricing tables or quote estimator base values.
- Adding up to 2 new customer review quotes.
What is Considered a "Big Change" (Out-of-Scope)
A "big change" is any structural, functional, or creative work beyond basic maintenance, including but not limited to:
- Full Layout / Site Redesign: Changing the core layout, visual structure, color palette overhaul, or complete template restructuring.
- Adding New Pages or Complex Sections: Building additional standalone pages (e.g. multi-page expansion) or custom backend functionality.
- Graphic Design & Rebranding: Designing custom logos, vector graphics, banner images, or branding guides.
- Third-Party Software Integration: Connecting external CRMs (HubSpot, Salesforce), booking engines, scheduling software, or custom API endpoints.
- E-Commerce & Database Systems: Adding shopping carts, user login authentication, custom inventory databases, or payment gateways.
Out-of-scope "big changes" will be evaluated upon request, quoted in advance, and billed at Provider's standard rate of $65 per hour, requiring Customer's written approval before work begins.
3. Disclaimers: Online Presence Only (No Lead or Revenue Warranties)
1. Online Presence Tool: Provider builds, hosts, and maintains a modern digital website to establish your business's online presence.
2. No Lead or Sales Guarantee: Provider DOES NOT and CANNOT promise, warrant, or guarantee any specific number of new sales leads, phone calls, customer inquiries, search engine rankings, or business revenue.
3. Customer Sales Responsibility: The website serves as a conversion-optimized presentation for your business. Closing leads, answering calls, performing advertising, local outreach, and delivering services remain 100% the Customer’s responsibility.
4. Payment Terms & Encrypted Card Billing
- Initial Fee: Setup Kickoff requires the $499 setup fee + first month's $129 subscription fee ($628 total).
- Recurring Billing: Monthly subscription fees ($129/mo) are processed automatically every 30 days via encrypted credit card billing.
- Failed Payments & 7-Day Grace Period: If a recurring charge fails, automated retry notices will be issued. Provider grants a 7-day grace period. If an account remains unpaid after 7 days, Firebase website hosting may be temporarily paused until the balance is brought current.
5. Cancellation, Offboarding & Asset Ownership Transfer
A. How Cancellation Works
- Customer may cancel the monthly subscription at any time with 30 days written notice to
ronen.developer.2@gmail.com or through the payment portal.
- Website hosting and support remain active until the conclusion of the paid billing cycle, after which Firebase hosting will be paused. Setup fees and monthly fees already billed are non-refundable.
B. Asset Retention & Ownership Transfer
Customer retains full ownership of their brand assets and custom domain name:
- Domain Ownership Transfer (Hostinger): If Provider purchased the domain on Hostinger on Customer's behalf, upon written request after cancellation, Provider will initiate a domain ownership transfer (Domain Push) to Customer's free Hostinger account or unlock the domain and provide the EPP Authorization Code for transfer to any registrar of Customer's choice.
- Website Files Transfer (ZIP Archive Delivery): Upon cancellation and written request, Provider will export and deliver a downloadable ZIP file containing all static website files (HTML, CSS, JavaScript, image assets, and text content). Customer can host this ZIP file on any hosting service of their choice. Provider will not grant direct access to Provider's private Firebase developer console or private GitHub repositories.
- Customer Media Rights: Customer retains 100% ownership of all provided logos, photos, business names, and text copy.
6. Limitation of Liability & Warranties
- Service Availability: Hosting is powered by Firebase Cloud Infrastructure with automatic SSL certificates. While uptime target is 99.9%, Provider is not liable for temporary service interruptions caused by global cloud network outages (Google Firebase / Hostinger / GitHub).
- Maximum Liability: To the maximum extent permitted by law, Provider’s total cumulative liability for any claims related to these services shall not exceed the total fees paid by Customer to Provider in the three (3) months preceding the claim.
7. Governing Law & Dispute Resolution (Jurisdiction)
These Terms & Conditions shall be governed by, construed, and enforced in accordance with the laws of the State of Israel, without giving effect to any principles of conflicts of law.
Any legal action, claim, or dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Hadera, Israel, or resolved via binding online international arbitration if agreed upon by both parties.
